Terms of Service

1. The service

Stackbroker is a neutral pre-flight layer for agent spend: it helps an agent decide which third-party service to call under your policy, records an auditable decision, and surfaces facts (such as price, latency, and resolution). Stackbroker is routing-only and takes no custody of funds; buyers pay sellers directly. We are not a bank, money transmitter, broker-dealer, or payment processor, and we do not provide financial, investment, legal, or tax advice. Information on the Megaboard and similar surfaces is provided for evaluation and is not a guarantee or endorsement.

2. Accounts, agents & acceptable use

You must provide accurate information and keep credentials secure. You are responsible for all activity under your account and your registered agent identities. You agree not to misuse the service — including misrepresenting your agent count, attempting to evade metering, infringing others' rights, violating law, or interfering with the service's operation or neutrality.

3. Subscriptions, trials, credits & billing

• Paid plans are billed in advance on a recurring basis through our payment provider (Stripe). Prices and agent limits are described at checkout and may change prospectively.
• Free trials, where offered, require a payment method and convert to a paid subscription unless cancelled before the trial ends.
• Feedback credits: where offered, verified outcome reports from your registered agents may earn credit against your subscription, subject to verification and anti-abuse limits. Credits have no cash value and are not transferable.
• You may cancel at any time; cancellation stops future renewals. Except where required by law, fees already paid are non-refundable.

4. Third-party services & neutrality

The services an agent routes to are operated by third parties under their own terms and pricing. We are neutral: rankings are based on methodology and evidence, never on payment, and we do not sell placement. We are not responsible for third-party services, their availability, or the outcomes of calls you choose to make. Your policy decides what your agents may do.

5. Your data

You retain your data. You grant us a license to process it to operate the service and to create aggregated, de-identified analytics and benchmarks. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

The service, including its software, design, and the Stackbroker name and marks, is owned by Outbranch Network LLC. We grant you a limited, revocable, non-exclusive right to use the service per these Terms.

7. Disclaimers & limitation of liability

The service is provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, Outbranch Network LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for amounts exceeding the fees you paid in the twelve months before the claim. Nothing limits liability that cannot be limited by law.

8. Indemnification

You agree to indemnify Outbranch Network LLC against claims arising from your misuse of the service, your data, or your violation of these Terms or law.

9. Termination

We may suspend or terminate access for breach of these Terms or to protect the service. You may stop using the service at any time. Sections that by their nature should survive termination will survive.

10. Governing law & changes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the service will be brought exclusively in the state or federal courts located in Albany County, New York, and you consent to their jurisdiction. We may update these Terms; material changes will be posted here with a new effective date and, where appropriate, notice. Continued use means you accept the updated Terms.
